Welcome to Klyq. These Terms of Service ("Terms") govern your access to and use of the Klyq website, mobile applications, and related services (collectively, the "Services").
By creating an account, selecting the acknowledgment that you agree to these Terms, or using Klyq, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not create an account or use the Services.
Eligibility
You must meet the minimum age requirements applicable to Klyq and your jurisdiction to use the Services.
If you are using Klyq on behalf of or as a member of an organization, you represent that you are authorized to participate in that organization through Klyq and agree to comply with these Terms.
Organizations may establish additional membership requirements, policies, codes of conduct, or standards that apply to their members.
Your Account
You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs through your account.
You agree to:
- Provide accurate and complete information.
- Keep your account information up to date.
- Maintain the security of your password and account credentials.
- Notify Klyq promptly of suspected unauthorized access to your account.
- Use only an account that belongs to you.
- Not share your account credentials with another person.
You are responsible for activity conducted through your account except where prohibited by applicable law.
Acceptable Use
You agree to use Klyq only for lawful purposes and in a manner that respects the rights, safety, and privacy of other users.
You may not use Klyq to:
- Violate any applicable law or regulation.
- Harass, threaten, intimidate, bully, stalk, or abuse another person.
- Promote hatred, discrimination, or violence against another person or group.
- Post, send, upload, or distribute obscene, sexually explicit, exploitative, threatening, hateful, defamatory, or otherwise objectionable content.
- Share content intended to encourage violence, self-harm, illegal activity, or dangerous behavior.
- Upload malicious software, harmful code, or other material intended to compromise the Services or another user's device or account.
- Attempt to gain unauthorized access to another account, organization, system, or data.
- Interfere with the operation, security, or integrity of the Services.
- Distribute spam, scams, deceptive communications, or fraudulent content.
- Impersonate another individual or organization.
- Upload or distribute content that infringes another person's intellectual property, privacy, publicity, or other legal rights.
- Use the Services to engage in conduct that Klyq reasonably determines threatens the safety or integrity of Klyq, its users, organizations, or communities.
Zero Tolerance for Objectionable Content and Abusive Behavior
Klyq has zero tolerance for objectionable content and abusive users.
Users may not create, upload, post, transmit, send, share, or otherwise distribute content through Klyq that is threatening, harassing, abusive, hateful, discriminatory, sexually explicit, obscene, exploitative, defamatory, violent, unlawful, or otherwise objectionable.
Users who engage in abusive behavior or create or distribute objectionable content may have their content removed and may have their access to Klyq restricted, suspended, or terminated.
Klyq reserves the right to take appropriate action when we determine that content or conduct violates these Terms, threatens another user, or creates a risk to the safety or integrity of the Klyq community.
User-Generated Content
Klyq allows users to create and share content within their organizations and communities. User-generated content may include messages, comments, images, profile information, files, attachments, polls, tasks, events, announcements, and other materials submitted through the Services ("User Content").
You retain ownership of User Content you create and submit to Klyq.
By submitting User Content through the Services, you grant Klyq a limited, non-exclusive license to host, store, process, transmit, display, and otherwise use that content as reasonably necessary to operate, secure, moderate, maintain, and improve the Services.
You are responsible for the User Content you submit and for ensuring that it complies with these Terms and applicable law.
Klyq does not endorse User Content merely because it appears through the Services.
Reporting Objectionable Content and Abusive Users
Klyq provides in-app tools that allow users to report objectionable content and abusive behavior.
Users who encounter content or conduct they believe violates these Terms may use Klyq's in-app reporting functionality to submit a report for review.
Reports may include information reasonably necessary to investigate the reported activity, including information identifying the reported content, the reporting user, the reported user, the reason for the report, and related contextual information.
Klyq will review reports of objectionable content and abusive behavior and will act on valid reports in a timely manner, including within 24 hours when required by applicable platform policies.
Depending on the circumstances, action may include:
- Removing objectionable content.
- Warning a user.
- Restricting a user's access or privileges.
- Removing a user from an organization.
- Suspending or terminating a user's Klyq account.
- Taking other action reasonably necessary to protect users, organizations, or the Services.
Submitting intentionally false, misleading, or abusive reports may itself constitute a violation of these Terms.
Blocking Users
Klyq provides functionality that allows users to block other users.
When you block another user, Klyq may prevent or hide that user's applicable content and communications from your view in accordance with the functionality available within the Services.
Blocking another user does not necessarily remove that user's underlying content from Klyq or prevent other authorized users from viewing that content.
Users may unblock another user through the functionality provided within Klyq.
Blocking is intended to provide users with additional control over their experience and does not replace Klyq's reporting functionality. If you believe another user's content or behavior violates these Terms, threatens another person, or otherwise requires moderation, you should also use the available reporting tools.
Content Moderation and Enforcement
Klyq may review reported content and user activity to enforce these Terms, protect users, comply with applicable law, respond to valid legal requests, and maintain the safety and integrity of the Services.
Klyq reserves the right, but is not obligated except where required by law or applicable platform policies, to:
- Review reported User Content.
- Remove or restrict access to User Content.
- Investigate reported conduct.
- Restrict, suspend, or terminate user accounts.
- Remove users from organizations where appropriate.
- Preserve information relating to reported conduct where reasonably necessary for moderation, security, legal, or compliance purposes.
Klyq may take action without prior notice when reasonably necessary to address serious abuse, objectionable content, security threats, violations of these Terms, or risks to users or the Services.
Organization administrators may also have moderation or membership-management capabilities within their organizations.
Organizations and Organization Administrators
Klyq is designed to facilitate communication, collaboration, and operations within organizations and communities.
Organizations may designate administrators or other authorized leaders who have access to functionality necessary to manage their organization.
Depending on their permissions, organization administrators may be able to manage members, events, attendance, tasks, communications, reports, and other organization information.
Organization administrators may also be able to remove members or moderate content within their organization.
Users acknowledge that their participation in an organization may also be governed by policies, membership requirements, codes of conduct, or other rules established independently by that organization.
Privacy
Your use of Klyq is also governed by our Privacy Policy, which describes how we collect, use, store, and protect information associated with the Services.
When you use reporting, moderation, or blocking features, Klyq may process information necessary to provide those features, investigate reports, enforce these Terms, and protect users and the Services.
Intellectual Property
The Klyq platform, including its software, design, logos, trademarks, graphics, interfaces, and other proprietary content, is owned by Klyq or its licensors and is protected by applicable intellectual property laws.
Except as permitted by applicable law or with our written permission, you may not copy, modify, distribute, sell, license, reverse engineer, or create derivative works from the Services or Klyq's proprietary content.
These restrictions do not affect your ownership rights in User Content you create.
Third-Party Services
Klyq may integrate with or rely upon third-party services, including services providing cloud hosting, authentication, notifications, mapping, analytics, storage, or other technical functionality.
Your use of certain third-party services may be subject to additional terms or policies established by those providers.
Klyq is not responsible for the availability or content of third-party services except as required by applicable law.
Service Availability
We strive to provide reliable Services but do not guarantee that Klyq will always be available, uninterrupted, secure, or error-free.
We may modify, update, suspend, restrict, or discontinue portions of the Services when reasonably necessary for maintenance, security, product development, compliance, or other operational reasons.
Account Suspension and Termination
You may stop using Klyq or delete your account in accordance with the account-deletion functionality available through the Services.
Klyq may restrict, suspend, or terminate your account or access to some or all of the Services if we reasonably determine that you:
- Violated these Terms.
- Submitted or distributed objectionable content.
- Engaged in abusive behavior toward another user.
- Misused reporting or moderation functionality.
- Threatened the safety or security of another user or the Services.
- Engaged in fraudulent, unlawful, or harmful activity.
- Repeatedly violated organization or Klyq policies.
- Created legal, security, or operational risk for Klyq or its users.
Serious violations may result in immediate suspension or termination without prior warning.
Termination does not relieve you of obligations that arose before termination.
Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
Klyq disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free availability to the extent permitted by law.
Limitation of Liability
To the fullest extent permitted by applicable law, Klyq and its owners, officers, employees, affiliates, contractors, and service providers shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Services.
To the fullest extent permitted by applicable law, Klyq's total liability for claims relating to the Services shall not exceed the greater of the amount you paid to Klyq for use of the Services during the twelve months preceding the claim or $100.
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.
Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Klyq and its affiliates, officers, employees, contractors, and service providers from claims, damages, liabilities, losses, costs, or expenses arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.
Changes to These Terms
We may update these Terms from time to time to reflect changes to the Services, applicable laws, platform requirements, security practices, or our policies.
When material changes are made, we will update the "Last Updated" date above and may provide additional notice when appropriate.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
